Online Data TV guest release agreement

1. Introduction

This Guest Release Agreement (the “Agreement”) is made between Blockchain Zoo Private Limited, a company registered in Singapore, producer of the Online Data TV series (the “Producer”), and the person accepting these terms (the “Guest”). By ticking the acceptance box and typing their full name, the Guest agrees to the following terms.

2. Grant of rights

Recording consent. The Guest grants the Producer the right to record, film, photograph or otherwise capture the Guest’s voice, image, likeness and statements (the “Recordings”) during the podcast session and all related sessions, calls or interviews for Online Data TV (the “Show”).
Use and distribution. The Guest grants the Producer a worldwide, perpetual, irrevocable, royalty free licence to use, copy, edit, distribute and publicly display the Recordings, in whole or in part, in any media or format now known or later developed, for any lawful purpose related to the Show, including promotional, marketing and archival uses.
Promotional materials. The Guest allows the Producer to use the Guest’s name, likeness, biographical details and any materials the Guest provides, such as photographs or written content, in connection with the Show and its promotion, without additional compensation or approval.
Sponsor credit. The Guest acknowledges that the Show is presented by its sponsor and that episodes, including the Guest’s episode, carry the sponsor’s credit.

3. No compensation

Participation is voluntary. No monetary or other compensation is provided for the appearance on the Show or for the use of the Recordings. No fee is charged to the Guest.

4. Representations and warranties

The Guest represents and warrants that:

they have full authority to enter this Agreement and to grant the rights described in it;
their participation does not violate or infringe the rights of any third party;
they will not disclose confidential information or breach any non-disclosure agreement during the Show;
they will provide a suitable recording environment, including a stable internet connection, adequate audio and video equipment and a quiet location.

5. Confidentiality

The Guest agrees not to disclose confidential or proprietary information regarding the Producer, the Show or other participants, including behind the scenes details, unreleased content and private correspondence, unless the Producer authorises it in writing.

6. Release and indemnification

Release. The Guest releases and discharges the Producer, its affiliates, employees, agents and assigns from all claims, demands or causes of action arising out of or related to the Show or the use of the Recordings as permitted by this Agreement.
Indemnification. The Guest agrees to indemnify and hold the Producer harmless from any liability, loss, claim, damage and expense, including reasonable legal fees, arising from a breach by the Guest of the representations and warranties above or from the Guest’s actions during or related to the Show.

7. Editorial decisions

The Producer decides whether, when and in what form a Recording is published and may decline to publish a Recording that does not meet its standards.

8. Governing law

This Agreement is governed by the laws of Singapore. Any dispute arising under or relating to this Agreement is subject to the exclusive jurisdiction of the courts of Singapore.

9. Entire agreement

This Agreement is the entire understanding between the parties on its subject matter and supersedes all prior negotiations, understandings or agreements. Changes are effective only in writing and agreed by both parties.

10. Acceptance

By ticking the acceptance box and typing their full name on the Online Data TV website, the Guest acknowledges that they have read, understood and voluntarily agree to these terms, and that they are at least eighteen years of age and have the legal capacity to enter this Agreement. The Producer records the date and time, the IP address and the browser of the acceptance and emails a copy to the Guest.
